CLIENT SUMMARY

What should Belize company owners know?

Registered agents must review whether Belize companies have nominee directors or shareholders and make the required declarations. The FSC’s publicly announced transitional deadline was 30 September 2026. A later 30 October 2026 agent request is tentative and is not verified as a new statutory deadline.

Belize has introduced a more comprehensive framework governing nominee directors and shareholders. Existing Belize companies are now subject to increased scrutiny of nominee arrangements, and registered agents must identify and report relevant relationships.

These requirements arise principally from the Financial Services Commission (Nominee Shareholders and Directors) Regulations, 2025, issued under Statutory Instrument No. 158 of 2025, alongside the Belize Companies Act 2022 and its amendments.

For business owners, the key question is straightforward: does anyone act as a director or hold shares on behalf of another person?

If the answer is yes, the arrangement may need additional documentation, verification and regulatory reporting.

What changed under Belize's nominee regulations?

The regulations establish requirements for identifying nominee relationships, determining who may act as a nominee, and reporting relevant information to the authorities.

The framework addresses both existing companies and new company registrations.

In particular:

  • Registered agents must take reasonable steps to determine whether nominee arrangements exist.
  • Statements must confirm the existence or absence of nominee relationships.
  • Where nominees exist, information identifying the nominee and the person giving the appointment or instructions may be required.
  • Nominees must satisfy the applicable eligibility requirements.
  • Companies with nominee relationships must have a registered agent.

The regulations were gazetted in December 2025 and have been the subject of implementation and compliance activity throughout 2026.

What is a nominee director or nominee shareholder?

A nominee director generally refers to a person who acts as a director on behalf of another person or in accordance with that person's instructions or wishes, within the applicable statutory definition.

A nominee shareholder is generally a registered shareholder who holds shares on behalf of another person rather than for the shareholder's own beneficial interest.

For example, an entrepreneur may own a Belize company but appoint another individual to hold its shares on the entrepreneur's behalf.

That arrangement may constitute nominee shareholding even if the entrepreneur remains the underlying beneficial owner.

It is important to distinguish a nominee from an ordinary director or shareholder. A director is not automatically a nominee merely because they are appointed by a shareholder or are not resident in Belize.

The actual legal arrangement and relationship must be examined.

What must existing Belize companies disclose?

Under Regulation 17, registered agents must assess existing companies for nominee relationships and report the relevant compliance information.

The review is not limited to companies already known to use professional nominee services.

Companies may therefore be asked to provide one of two confirmations:

Where no nominee exists: Confirm that the company has no nominee director or nominee shareholder.

Where a nominee exists: Identify the relevant nominee and specify whether the individual acts as a nominee director, nominee shareholder or both.

Depending on the arrangement, additional particulars required by Regulation 13 may include the nature and commencement date of the relationship, written consent for nominee-director appointments, and identifying information concerning the nominator.

A simple confirmation is not necessarily sufficient to complete every statutory filing. The registered agent must determine the applicable documentation and verification requirements.

Are nominee directors and shareholders still allowed in Belize?

Yes, subject to important restrictions. The regulations do not impose a blanket prohibition on nominee arrangements.

However, not everyone is eligible to provide or undertake nominee functions.

Regulation 14 recognises authorised registered-agent arrangements and qualifying personal nominees.

A personal nominee appointed by a beneficial owner is subject to restrictions, including that the person must not act for more than one company and must be physically present in Belize during the appointment.

Registered agents providing nominee services must also meet the relevant FSC authorisation requirements.

Companies currently using nominees should check that their arrangements remain eligible under the regulations rather than assuming that historical appointments automatically comply.

What is the compliance deadline in 2026?

The Belize Financial Services Commission publicly extended the transitional compliance deadline to 30 September 2026.

This extension gave registered agents additional time to conduct reviews, verify nominee relationships and complete the required submissions through the Online Business Registry System (OBRS).

As of 23 October 2026, EWO has also been informed of further portfolio-level information collection with a tentative submission date of 30 October 2026. However, this later date has not been independently verified as a revised statutory deadline.

Companies should therefore confirm the currently applicable submission requirements and dates directly with their registered agent.

The reporting obligation should not be disregarded merely because an earlier transitional deadline has passed.

What are the penalties for non-compliance?

The regulations contain administrative penalties for specified contraventions.

Examples include:

Non-compliance Scheduled administrative fine
Failure to submit a required statement to the Registrar USD 5,000
Providing nominee services without authorisation USD 10,000
Failure to assess nominee arrangements USD 5,000
Wilful non-disclosure of nominee arrangements USD 5,000
Failure to appoint a registered agent where required USD 2,500

The actual liability depends on the provision breached and the circumstances.

These amounts are stated in the Schedule to Statutory Instrument No. 158 of 2025.

Will nominee or beneficial-owner information become public?

Regulatory disclosure should not be confused with unrestricted public access.

The regulations impose reporting obligations involving the Registrar and FSC. They do not, by themselves, establish that every nominee's personal information or the underlying beneficial owner's identity becomes available to the general public.

Nevertheless, companies should understand that information held by registered agents and authorities may be accessible to competent authorities through applicable legal processes.

Anyone concerned about privacy should seek clarification on the specific information collected, who may access it and the relevant legal safeguards.

What should Belize company owners do now?

EWO recommends a practical review before making changes to any existing structure:

  1. Review the company's current directors and shareholders. Determine whether anyone acts on behalf of another person.
  2. Confirm nominee status. Distinguish ordinary corporate appointments from genuine nominee arrangements.
  3. Check eligibility. Where nominees exist, verify that their appointments comply with current FSC requirements.
  4. Prepare accurate information. Provide the registered agent with the nominee and nominator particulars requested for verification and filing.
  5. Confirm filing completion. Ask the registered agent whether the necessary regulatory statements have been submitted.
  6. Maintain ongoing records. Update the registered agent when relevant nominee relationships commence, change or cease.

Companies should not automatically replace a nominee or transfer shares without first considering the corporate, legal, tax and banking consequences.

Frequently asked questions

Does every Belize company need to confirm whether it uses nominees?

Registered agents are required to assess their portfolios. A company may therefore be requested to confirm its position even when it has no nominee arrangements.

Does the new framework mean nominee shareholders are banned?

No. Nominee arrangements remain possible where they comply with the applicable eligibility, authorisation and disclosure requirements.

Can a foreign individual act as a personal nominee?

The relevant eligibility restrictions must be reviewed carefully. A personal nominee is subject to the conditions under Regulation 14, including physical presence in Belize during the appointment.

Does a nominee director remove responsibility from the underlying company owner?

No. A nominee appointment does not automatically remove ownership, beneficial-ownership, tax or other applicable compliance obligations.

Is nominee disclosure the same as beneficial-ownership reporting?

No. The two obligations are related but distinct. Nominee disclosure concerns the person acting on behalf of another and the relevant appointment relationship. Beneficial-ownership reporting addresses the ultimate ownership or control of the entity.
