Overview

Hong Kong is located on the southeast coast of China. The territory of Hong Kong mainly consists of 3 regions which include Hong Kong Island, Kowloon, and New Territories, while Hong Kong Island is the core of development. The population is about 7.23 million people. Hong Kong – The Pearl of Oriental, all of Hong Kong reverted from British Control back to China and became a Special Administration Region 'SAR' within the People's Republic of China (PRC) on 1st July 1997. It has become one of the world’s most important places for financial services, trading ports, and shipping centers. Besides, Hong Kong is also famous for its good public security, free economy, simple tax system, and sound legal system. Due to the good reputation of Hong Kong, ease of company registration with fair and transparent, and tax incentive given to the company offshore income, it makes many international companies who concern about brand image make Hong Kong the main priority for the place to incorporate the company. Hong Kong's tax system is based on a territorial tax system in which only local income is taxable only. In other words, the company is subjected to 17.5% of corporate income tax if fulfill the conditions as below, regardless of the jurisdiction of incorporation:

(1) staff assigned to Hong Kong and utilizing office; (2) Hiring local worker; (3) having suppliers or customers in Hong Kong; (4) Goods manufacture, customs declaration, acceptance in Hong Kong; (5) having transaction by telephone, fax, email or internet in Hong Kong.

 

Corporate Requirements

  • Company Name: must have an English name but the Chinese name is allowable but is bilingual.

  • No minimum registered capital, standard registered capital at HKD10, 000.

  • Has to appoint at least one director:

    • Must at least one individual

    • Can appoint shareholder or somebody else.

    • Director has to be at least 18 years old.

  • At least one shareholder

  • The Hong Kong address must not be a P.O. box address.

  • Must appoint at least one Hong Kong citizen as company secretary

  • No issuance of bearer shares

  • Director and shareholder information is kept in the registry and is accessible by the public.

  • Submission of Annual Return is compulsory and submission of audit account to Inland Revenue is required too.
